INDEPENDENT CONTRACTOR AGREEMENT
Luss N Chow Delivery Platform

This Independent Contractor Agreement ("Agreement") is entered into between Duane Breedt Consultant (Pty) Ltd t/a Luss N Chow, Registration No. 2026/475670/07, with its principal place of business in Somerset West, Western Cape ("the Company"), and the individual named in the application form ("the Contractor").

1. INDEPENDENT CONTRACTOR STATUS

1.1 The Contractor is engaged as an independent contractor and not as an employee, agent, or partner of the Company. Nothing in this Agreement shall be construed to create an employment relationship, joint venture, or partnership between the parties.

1.2 The Contractor acknowledges that they are not entitled to any employee benefits, including but not limited to: paid leave, sick leave, medical aid, provident fund contributions, Unemployment Insurance Fund (UIF) contributions, or severance pay. The Company shall not be liable for any PAYE deductions on behalf of the Contractor.

1.3 The Contractor is responsible for their own income tax obligations and must register with the South African Revenue Service (SARS) as required by law.

2. SERVICES

2.1 The Contractor agrees to provide food and goods delivery services to customers via the Luss N Chow platform within the service areas of Somerset West, Strand, and Gordon's Bay, Western Cape.

2.2 The Contractor agrees to: (a) collect orders from designated merchant partners; (b) deliver orders to customers at the specified delivery address; (c) handle all orders with reasonable care; (d) maintain professional conduct at all times when representing the platform.

2.3 The Contractor is not obligated to accept any specific order or work any specific hours. The Contractor retains full discretion over when and whether to make themselves available on the platform.

3. NON-EXCLUSIVITY

3.1 This Agreement is non-exclusive. The Contractor is free to provide delivery services to other platforms and businesses, provided such activities do not conflict with any order currently accepted on the Luss N Chow platform.

4. VEHICLE AND EQUIPMENT

4.1 The Contractor must supply and maintain their own vehicle, bicycle, or motorbike in a roadworthy condition at all times.

4.2 The Contractor must hold a valid South African driver's licence appropriate for their vehicle type.

4.3 The Contractor is solely responsible for all costs associated with their vehicle, including fuel, maintenance, repairs, licensing, and traffic fines.

4.4 The Contractor acknowledges that standard personal vehicle insurance policies typically exclude commercial or courier use. The Contractor accepts full responsibility for ensuring adequate insurance coverage for their vehicle during delivery activities and indemnifies the Company against any claims arising from vehicle-related incidents.

5. PAYMENT

5.1 The Company will pay the Contractor the delivery fee for each successfully completed delivery. The applicable delivery fee per order will be communicated via the platform at the time of dispatch.

5.2 Payments will be made weekly, every Monday, via EFT to the bank account provided by the Contractor in this application.

5.3 The Company reserves the right to withhold or adjust payment in cases of: (a) failed or incomplete deliveries attributable to the Contractor; (b) verified customer complaints of misconduct or damage; (c) fraudulent activity.

6. CONDUCT AND OBLIGATIONS

6.1 The Contractor agrees to: (a) treat all customers, merchants, and Company staff with respect and professionalism; (b) not consume alcohol or use illegal substances while making deliveries; (c) comply with all applicable road traffic laws; (d) not misrepresent themselves as employees of the Company; (e) immediately report any accidents, incidents, or complaints to the Company.

6.2 The Company may immediately suspend a Contractor's access to the platform pending investigation of any alleged misconduct, fraud, or illegal activity.

7. INTELLECTUAL PROPERTY AND CONFIDENTIALITY

7.1 All intellectual property relating to the Luss N Chow platform, brand, and technology remains the sole property of the Company.

7.2 The Contractor agrees to keep confidential all non-public information relating to the Company's business, including customer data, merchant data, and operational processes, both during and after this Agreement.

8. PERSONAL DATA (POPIA)

8.1 The Company will process the Contractor's personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and the Company's Privacy Policy available at lussnchow.co.za/privacy.html.

8.2 By signing this Agreement, the Contractor consents to the collection and processing of their personal information, identity documents, vehicle documents, banking details, and location data for the purpose of facilitating delivery services on the platform.

8.3 The Contractor may request access to, correction of, or deletion of their personal information by contacting info@lussnchow.co.za.

9. TERMINATION

9.1 Either party may terminate this Agreement by giving 7 (seven) days' written notice via WhatsApp or email.

9.2 The Company may terminate this Agreement immediately and without notice in the event of: (a) serious misconduct; (b) fraud or dishonesty; (c) breach of any term of this Agreement; (d) revocation of the Contractor's driving licence.

9.3 Upon termination, the Contractor's access to the platform will be deactivated and all outstanding payments due will be settled within 14 days.

10. LIMITATION OF LIABILITY

10.1 The Company shall not be liable for any loss of income suffered by the Contractor due to platform downtime, reduced order volumes, or termination of this Agreement.

10.2 The Contractor indemnifies the Company against any claims, damages, or losses arising from the Contractor's negligence, misconduct, or breach of applicable laws while performing delivery services.

11. DISPUTE RESOLUTION

11.1 Any dispute arising from this Agreement shall first be referred to mediation. If unresolved, it shall be submitted to arbitration in terms of the rules of the Arbitration Foundation of Southern Africa (AFSA).

11.2 This Agreement is governed by the laws of the Republic of South Africa.

12. ENTIRE AGREEMENT

12.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or arrangements. Any amendments must be made in writing and agreed to by both parties.
